Hope Hero Subscription Agreement
This Subscription Agreement ("Agreement") is a legal contract between you ("Customer") and Solidified Corporation, a Nevada corporation d.b.a. Hope Hero ("Provider") for the Hope Hero Client Portal (the "Product"). The Product is an internet portal that allows Customer to access products and services offered by various consumer financial services firms ("CFSF") as well as receive ancillary products and services as described below.
1. Service Description
Provider has developed working relationships with various CFSF firms who have determined one of the ways they will offer and deliver products and services is through a portal owned and operated by Provider. Although each CFSF who has entered into an arrangement with Provider to be able to offer and deliver products and services through the Provider portal, they do not own, set the rules, nor are they responsible for the operation of the portal. Rather, these consumer financial services firms have decided that the best way for them to deliver their products and services is through Provider's portal. Likewise, Provider is not responsible for any of the products and services any CFSF offers and delivers through the portal.
2. License Grant
By accessing or otherwise entering the portal, Customer agrees to be bound by the terms of this Agreement. Under this Agreement, Provider grants to Customer a non-transferable, non-sub-licensable, non-exclusive license to use the Product. Customer shall have the right to access the portal on up to 3 devices. Provider or its licensors will retain exclusive ownership of all rights, title, and interest in and to the Product.
3. Availability
Allowing for normal outages for maintenance and factors beyond control of Provider, Provider will use commercially reasonable efforts to allow Customer to have access to the portal 24/7, 365 days a year.
4. Acceptance & Refund Policy
Provider supplies and Customer accepts the Product "AS IS" without any representations or warranties. Customer has one (1) business day from the date of first usage to accept or reject the Product. If Customer rejects the Product, the rejection automatically rescinds this Agreement and Provider will refund any funds paid. After the one (1) day expires, Customer can no longer reject the Product and there are no refunds.
5. Portal Services
In addition to being a vehicle to do business with one or more CFSFs, Provider provides additional services through the portal:
- Data storage within the portal
- Document upload and download capabilities
- 24/7 access to Customer's information
- Tri-merged credit reports from all three credit bureaus
- Periodic updated credit reports
- Financial calculators and tools
By using the Product, Customer authorizes Provider to periodically obtain tri-merged credit reports. Customer also authorizes Provider to make copies of those reports available to each CFSF who requests access, unless Customer notifies Provider in writing to restrict access.
6. Provider's Role
The Parties acknowledge Provider is only providing software and related services. It is not involved in any business operations of any CFSF.
7. Subscription Fees
The monthly subscription fee is $49.00. There will be no invoice. The amount is automatically due on the last day of the preceding month for the coming month. The fee will be collected by ACH draft, credit card, or debit card. All payments are non-refundable. All fees are pre-tax and Customer will be responsible for any applicable taxes.
Any late payments may be subject to a service charge equal to 1% per month of the amount due or the maximum amount allowed by law, whichever is less. No CFSF receives any portion of the Subscription Fee.
8. Fee Changes
Upon 30 days advance written notice, Provider has the right to increase the amount of the monthly Subscription Fee as well as add other fees. If Customer does not want to pay such additional or modified fees, their only option is to terminate this Agreement.
9. Warranties
Provider represents and warrants that to the best of its knowledge, the Product does not contain any known viruses, worms, Trojan horses, or other harmful code.
Except as expressly set forth in this agreement, Provider makes no representations or warranties, and Provider and its suppliers expressly disclaim all other representations and warranties, express or implied, statutory or otherwise, including but not limited to merchantability and fitness for a particular purpose.
10. Limitation of Liability
Provider's entire liability to Customer will not exceed the amount actually paid by Customer during the 3-month period immediately preceding a claim. Neither party will be liable for any indirect, special, incidental, or consequential damages of any kind, or lost profits, loss of use, lost data, failure of security mechanisms, or interruption of business.
11. Cancellation
You may cancel this Agreement, for any reason, without penalty or obligation, by notifying Hope Hero in writing within five (5) days from the date you signed the Agreement. If you cancel within the time period, Hope Hero will return any payment made within five (5) days after receipt of your cancellation notice.
12. Governing Law
This Agreement is governed by the laws of the State of Nevada and the United States without regard to conflicts of law provisions thereof.
